Do I need to fly to Portugal to set up my company?

No. The entire process is handled 100% remotely. Through a power of attorney, we represent you in all formalities, from incorporation to tax registration. That includes the company's bank account: where you select that module, we open it at a Portuguese bank under the same power of attorney and prepare the full compliance pack on your behalf. You don't need to set foot in Portugal at any point during the setup.

How long does incorporation take?

Typically 4 to 6 weeks from initial engagement to active company. If you need the company sooner, the express option at checkout uses the government fast-track: registration in as little as one week (state urgency fee, +€360). The timeline depends on document availability and government processing times.

Can non-EU citizens own a Portuguese company?

Yes. There are no citizenship restrictions for company ownership in Portugal. Anyone can be a shareholder or director of a Portuguese company.

What's actually in the price? Any hidden costs?

Pricing is modular, so you only pay for what your structure needs. The €1,500 base covers incorporation and registry filing, drafting of articles of association, all required corporate documentation, the company's NIF and tax registration, and 90 days of post-incorporation support by email. At checkout you add only what applies: NIF for non-resident shareholders (€250 each), registered office for the first year (€600), first-year accounting (€1,200), and corporate bank account opening (€750). A typical all-in setup runs €2,200 to €4,150. Mandatory government registration fees (€435) are itemised at checkout and paid on your behalf, at cost; optional express registration (+€360, the state urgency fee) gets your company registered in as little as one week. The only costs outside checkout are notary fees if a notarial deed is required for your structure (~€150 to €400) and apostille of your foreign documents, which you arrange in your home country. Every number is shown at checkout before you pay.

What if something goes wrong, or you can't deliver?

If we fail to deliver an active Portuguese company within 6 weeks of POA signature, for reasons within our control, you receive a full refund. The most common external delays are document availability on your side (passport, apostille, source-of-funds pack) and bank compliance review. We flag both upfront in writing so you know which clock is running. As a law firm, we also operate under the professional liability regime of the Portuguese Bar Association.

Terms of Service

These Terms of Service ("Terms") govern your use of the Portugal & Co website and our business setup services. By accessing or using our website or engaging our services, you agree to be bound by these Terms.

1. Services Offered

Portugal & Co provides fixed-fee, modular Portuguese limited liability company (Lda) formation services. The base service (€1,500) includes:

Company formation and registration
Company tax registration and NIF assignment
Legal documentation preparation
90 days of post-incorporation support

Optional modules selected at checkout — shareholder NIF representation, registered office, first-year accounting, and corporate bank account opening — are part of the same engagement and priced individually. Other add-on services are billed separately and subject to separate agreements.

2. Fee Structure

Our service is provided on a fixed-fee, modular basis: a €1,500 base fee, plus mandatory government registration fees (€435, collected at checkout and paid on your behalf to the competent registry), plus the optional modules you select at checkout. Where express registration is selected, the additional €360 corresponds to the state urgency fee. The total shown at checkout is inclusive of all selected services. No additional hourly charges apply unless you engage optional services or request work outside the agreed scope.

The fees shown correspond to engagements of standard complexity. In accordance with the fee-setting rules of the Statute of the Portuguese Bar Association (Estatuto da Ordem dos Advogados), matters of unusual complexity, urgency, or volume may justify additional fees. Any such adjustment will be identified in the engagement agreement and agreed with you in writing before additional work begins; the amounts paid at checkout are always credited in full against the final fee.

3. Scope of Services

Our services are limited to business setup in Portugal. We do not provide ongoing tax planning, investment advice, HR consulting, or other services beyond what is explicitly stated in our engagement agreement. These services require separate agreements and fees.

4. Consultation and Engagement

A 30-minute initial consultation is free and non-binding. During this call, we assess your needs and determine if our services are appropriate. If you proceed, you will sign an engagement agreement.

5. Client Responsibilities

You are responsible for:

Providing accurate, complete information and documents
Making timely decisions regarding company structure and ownership
Ensuring compliance with your home country's regulations (FATCA, CRS, reporting requirements)
Understanding Portuguese tax obligations post-incorporation

6. Timeline

Company formation typically takes 4–6 weeks from engagement to active company. Where the express registration option is selected, we submit the registration under the government urgency procedure, which typically completes in about one week; the remaining setup steps follow their normal course. Timeline depends on document availability, government processing times, and bank approval. We do not guarantee specific dates.

7. Limitation of Liability

To the extent permitted by Portuguese law:

Our total liability for any claim related to our services shall not exceed the fees paid for those services.
We are not liable for indirect, incidental, special, or consequential damages.
We are not liable for delays caused by government agencies, banks, or third parties.

8. No Legal Advice (Website Only)

Information on this website is for educational purposes only and does not constitute legal advice. Actual legal advice is provided only to clients under a signed engagement agreement.

9. Governing Law and Jurisdiction

These Terms and any engagement agreement are governed by Portuguese law. You agree to submit to the exclusive jurisdiction of Portuguese courts for any disputes.

10. Termination

Either party may terminate the engagement with written notice. Refunds are provided only if termination occurs before material work has begun, less reasonable costs incurred.

11. Confidentiality

We maintain confidentiality of client information subject to legal obligations (e.g., AML/KYC, tax reporting). Information shared with government agencies, banks, and tax authorities is done in accordance with law.

12. Disclaimers

Portugal & Co provides services "as is." We do not warrant that business setup will be successful or that the company will operate without issues. Business success depends on many factors beyond our control.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitute acceptance of modified Terms.
