A note on regulated activity. Under Portuguese law, the drafting and execution of corporate instruments — articles of association, shareholders' agreements, powers of attorney — are actos próprios de advogados, reserved to admitted lawyers. Online formation services frequently produce these instruments through non-lawyers, leaving the client exposed on enforceability, compliance, and professional-liability cover. We do not.

Online formation services file paperwork; we handle the engagement as a corporate lawyer would. That means an attorney admitted to the Portuguese Bar Association reviewing your structure, drafting your articles of association, executing your POA, and managing the bank introduction directly with a corporate banker who knows our file. The cheaper services typically cannot open the bank account, do not advise on structure, and disappear after registration. For a €2,950 service that depends on banking working, that distinction matters.
Our managing partner has structured Holdco/OpCo arrangements, multi-shareholder vehicles, SPVs for specific projects, and participation-exemption setups for international principals. Crypto-related activities are case-by-case — Portuguese banks vary in their appetite, and we will tell you upfront whether the file is workable. For complex matters we may quote an additional scope on top of the €2,950 base fee, agreed in writing before engagement.
The €2,950 covers: incorporation and registry filing, drafting of articles of association, all required corporate documentation, NIF and tax registration, fiscal representation arrangement for non-resident shareholders, full corporate bank account opening with one of our preferred banking partners (handled in person by us under POA), and 90 days of post-incorporation support by email. The only external costs are: official registry fees (~€360, paid at cost), notary fees if a notarial deed is required for your structure (~€150–€400), and apostille of your foreign documents which you arrange in your home country. We disclose all of these in the engagement letter before you sign.
If we fail to deliver an active Portuguese company within 6 weeks of POA signature — for reasons within our control — you receive a full refund. The most common external delays are document-availability on your side (passport, apostille, source-of-funds pack) and bank compliance review. We flag both upfront in writing so you know which clock is running. As a law firm, we also operate under the professional liability regime of the Portuguese Bar Association.
